End User License Agreement

Effective Date: January 9, 2025

1. Agreement

This End User License Agreement ("Agreement") is between you ("User") and ATA Digital ("Company," "we," "us," or "our") for the use of the ATA Digital CAS Reporting Application ("Application") that integrates with QuickBooks Online.

By using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Application.

2. License Grant

Subject to the terms of this Agreement, ATA Digital grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for internal business purposes in connection with ATA Digital's Client Accounting Services (CAS).

3. Authorized Use

The Application is designed for:

• Accessing and analyzing QuickBooks Online financial data
• Generating reports and analytics dashboards
• Supporting accounting and financial advisory services
• Internal use by authorized ATA Digital personnel and clients

4. Restrictions

You agree NOT to:

• Sell, rent, lease, or sublicense the Application
• Reverse engineer, decompile, or disassemble the Application
• Remove or alter any proprietary notices
• Use the Application for any unlawful purpose
• Access data you are not authorized to view
• Attempt to gain unauthorized access to any systems or networks
• Use the Application in any way that could damage or overburden our infrastructure

5. QuickBooks Online Integration

The Application integrates with QuickBooks Online via OAuth 2.0. By using this integration:

• You authorize the Application to access your QuickBooks Online data
• You understand that this access can be revoked at any time
• You agree to comply with Intuit's Terms of Service

6. Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Application, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

The Application and all related materials are owned by ATA Digital and are protected by copyright, trademark, and other intellectual property laws. This Agreement does not grant you any ownership rights in the Application.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATA DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless ATA Digital from any claims, damages, or expenses arising from your use of the Application or violation of this Agreement.

11. Termination

This Agreement remains in effect until terminated. We may terminate your access to the Application at any time for any reason. Upon termination, you must cease all use of the Application.

12. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which ATA Digital is incorporated, without regard to conflict of law principles.

13. Changes to Agreement

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on our website.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and ATA Digital regarding the use of the Application and supersedes all prior agreements and understandings.
